USER AGREEMENT / ALLGEMEINE GESCHÄFTSBEDINGUNGEN

The parties have requested and agreed that this User Agreement, its terms and conditions and all communications and documents relating hereto are to be expressed in the English language.

Die Vertragsparteien haben sich darauf geeinigt, dass die Allgemeinen Geschäftsbedingungen in ihrer Gänze als auch jegliche diesbezügliche Kommunikation und Dokumente allein in Englischer Sprache Anwendung finden.

Please note that by accepting these terms and conditions you are concluding a legally binding agreement with Jobeedo Pte Ltd, 10 Anson Road, 09-24 International Plaza, Singapore.


1. General Provisions

a. Use of this Jobeedo.com website and its contents (including but not limited to loading, viewing, entering, accessing, registering with and/or joining Jobeedo.com and/or using any features, information, text, data, materials, profiles, advertisements, software, graphics, services or webpages contained in Jobeedo.com, or reading and/or using any messages, emails, news letters, articles or participating in any chat rooms, forums, blogs or groups on Jobeedo.com) and the services offered by Jobeedo Pte Ltd (hereinafter referred to as "Jobeedo") on Jobeedo.com (hereinafter referred to as this "Website") is subject to the terms and conditions of this legally binding user agreement (hereinafter referred to as this "User Agreement").

b. By using this Website and/or when registering as a paying or non-paying member on this Website by clicking on the provided button on the registration page you acknowledge that you have read the complete User Agreement (including the Jobeedo Privacy Policy), that you understand the content of the terms and conditions of the User Agreement, that you have the capacity and authority to enter into this User Agreement, and that you understand and agree that you are legally bound to the terms and conditions of this User Agreement.

c. If you do not want to become a Jobeedo Member, please do not view, enter, access, register with, join and/or use this Website, and do not enter this User Agreement.

d. Jobeedo may change and/or amend the terms and conditions of this User Agreement at any time. Any such changes and/or amendments will be notified to registered users in the membership section of this Website. Registered users are responsible for regularly checking this section in order to review any such changes. The current User Agreement can always be found through a link on the bottom of all pages of this Website.

e. By using this Website after any such User Agreement changes and/or amendments take effect, you agree to be legally bound by any such changes and/or amendments. If you do not agree to be bound by any such changes and/or amendments, you must immediately refrain from using this Website, and as a registered user you must deregister and terminate your membership.

f. In case you will use this Website as a member or employee of a company or other legal entity please note that such company or other legal entity may have a separate agreement with Jobeedo, possibly based on other terms and conditions. You are however bound to this User Agreement as an individual user.


2. Use of this Website - Rights, Responsibilities and Obligations

a. You must comply with the terms and obligations of this User Agreement (including the Jobeedo Privacy Policy) and applicable laws, including, but not limited to, tax laws, labor laws, export control laws, and other applicable regulations and guidelines.

b. You represent and warrant that you are not under the age of 18 and that you have full power and authority to enter into this User Agreement.

c. Further, you must not work for or be associated with a direct or indirect competitor of either Jobeedo or this Website.

d. Depending on your choice of available membership options on this Website you have a non-assignable, time-limited and non-transferable right to limited access to this Website, your membership section and other content and services available as specified under your chosen type of membership, including job postings, forums, groups, etc.

e. Jobeedo provides this Website to international users on an "as is" and "as available" basis, with the aim to create a community that exchanges information, opinions and ideas with regard to job markets, HR management and other related subjects. Jobseekers, networkers and companies alike can register on this Website to exchange such information, opinions and ideas and to connect with each other with regard to career opportunities. Jobeedo intends to provide, further enhance and update this Website and related services in order to equip all users with latest tools, features and functionalities. However, this Website or access to the same, partially or entirely, may be modified, suspended or discontinued at any time, to the sole discretion of Jobeedo. Any and all changes on this Website shall take immediate effect upon posting and availability on this Website.

f. You are not allowed to register for and/or have several free accounts on this Website in parallel.

g. User accounts on this Website are not transferable to third parties.

h. If your account has been suspended by Jobeedo before, Jobeedo reserves the right to bar you from repeat registration.

i. You must pay upon due date any applicable fees, charges and taxes, including one-time payments and recurring payments, associated with your subscribed services, advertisements or memberships on this Website. Further, Jobeedo will invoice and you must pay additional costs and interest arising from late payments.

j. Jobeedo reserves the right to change applicable fees and charges, including one-time payments and recurring payments, associated with your subscribed services, advertisements or memberships on this Website. Notices of such changes shall be made available to registered users in the membership section.

k. You must make sure that you are equipped with regularly available access to the internet, whether via PC, desktop or mobile device, and with latest processing technology and software in order to use this Website in full or in part.

l. You must access this Website through its frontpage and by logging into your user account.

m. You are responsible for any and all content, information and communication in and from your user account. You must keep your login password confidential and must not grant, lease, loan, trade or sell to others any access to your user account, the member section or any content and information of this Website.

n. If you, to your own discretion and under this User Agreement, decide to register on the Website and provide, upload, post or submit content (including but not limited to data, information, messages, pictures, ideas, etc.), you grant to Jobeedo (without further notice or consent, and waiving the right for any kind of compensation) a royalty-free, irrevocable, worldwide, unlimited, assignable right and license (with the right to sublicense) to publish, copy, reproduce, distribute, publish, delete, retain or freely use such content in any form, media, or technology of any kind now existing or developed in the future. Any such content provided by you must not be confidential, intellectual property of third parties or interfere with other contracts, third party rights or applicable law.

o. You are responsible for all content and information that you submit, what kind of information you submit and make accessible to other users of the Website and to Jobeedo. And Jobeedo is not obliged to check or supervise any of such content or information. All such content and information must be accurate and updated by you in case of change of such content or information.

p. Any content (including but not limited to data, information, messages, pictures, ideas, etc.) is submitted, uploaded, provided, posted or distributed by you at your own risk of loss. Jobeedo has no obligation to save, backup, store or keep any of such content.

q. You must not create a false identity or make misleading statements in your profile on this Website. This includes, but is not limited to, false information regarding your education, former and present employments, accreditations, memberships and/or affiliations.

r. Further, except otherwise stated in this User Agreement or explicitly stated by Jobeedo in the membership section of this Website, you may not

- state any contact information such as telephone number, email address, etc. in your public confidential profile. However, you shall provide this information in your profile page where required as a data entry.

- modify, copy, duplicate, license, sublicense, distribute, transmit, disclose, display, sell, publish or otherwise exploit this Website or any portion thereof without the prior written consent of Jobeedo. However, this excludes information and content created, provided, submitted and/or posted by you.

- gather, collect, use or utilize any content, data or information accessible on this Website to use for an existing or future product, project, service or website deemed direct or indirect competition to this Website by Jobeedo.

- hack into, derive, copy or steal the programmed source code of this Website or re-engineer this Website or any portion thereof.

- use any technology, software, or any manual or automated crawling, spider or screening process to search or monitor this Website without any prior written consent of Jobeedo.

- use or include the Jobeedo name, brand, logos and trademarks in any commercial email or website address, or in any company, product or brand name or design.

- provide, post or submit any content, communication or information that infringes trademarks, copyrights or other trade secrets.

- do anything that is intended, by the sole discretion of Jobeedo, to overload the servers or to trigger malfunctioning, disruption and/or disfunctionality of this Website or of any hardware or software used by Jobeedo and/or users of this Website. This includes, but is not limited to, mass mailings, hacking or distribution, installation or activation of computer worms, viruses or any other codes, files, software or programs to and on this Website. You must carefully follow outlined procedures when using this Website.

- create, publish, post or use any content, communication, picture, text or information on this Website that may abuse, offend or harass others or infringe the rights of others. You are responsible for your actions and communication on this Website. Jobeedo may decide to terminate your account, in our sole discretion, if deemed necessary and appropriate.

- provide, post, submit or distribute any content, communication or information that is discriminatory, unlawful, non-disclosable, confidential, proprietary under contractual obligations, abusive, offensive, threatening, libelous, defamatory, profane, inappropriate, vulgar, obscene, pornographic, sexually explicit, radical, unacceptable, indecent or otherwise objectionable.

- initiate, submit or distribute any unauthorized or unsolicited mass mailings, promotion, advertisement, "spam", chain letters, snowball schemes, etc.

s. Jobeedo is not obliged to verify the identity of registering members and users and cannot be held responsible for misuse of this Website by any user. Jobeedo disclaims all liability for any identity theft or any misuse of your data, information or identity.

t. You must read, review, understand and comply with Jobeedo notices provided in your membership section.

u. Jobeedo does not make any representations or warranties concerning any chat rooms, forums, blogs, groups or other electronic forums on this Website (hereinafter collectively referred to as "Forums") or any content, information, messages or statements posted in the Forums. You acknowledge and agree that your use of, or reliance upon, any such content, information, messages or statements shall be at your own risk. Jobeedo shall not be responsible for any such content, information, messages or statements. However, Jobeedo will review a portion of the Forums from time to time and, to our sole discretion, may delete or edit any such content, information, messages or statements deemed inappropriate, unlawful, offensive, criminal or otherwise objectionable. Further, Jobeedo cannot guarantee that any of such content, information, messages or statements that you post, publish and share may be misused or exploited by other users of the Forums.

v. For any mobile services and applications related to and available on and through this Website, you agree on one-time and/or periodic mobile communication from and to this Website with your mobile device, by means of SMS, MMS or other present or future ways of mobile communication. You further agree to update your telephone numbers for such mobile communication immediately in your user profile, without delay. You must check and secure that your provider allows you to use your device and telephone number for aforesaid mobile communication with this Website. Any mobile communication cost related to mobile services available on and through this Website shall be borne by you.

w. Job advertisements posted by you must comply with applicable laws and regulations in your jurisdiction and the jurisdiction of the country where the candidate shall be hired for your or your client organization. Many countries have strict rules with regard to the content and criteria communicated in job advertisements. You must, as a minimum, comply with the non-discriminatory tripartite guidelines recently updated by the Ministry of Manpower in Singapore. y. Jobeedo shall have the right to change or discontinue providing this Website or any portion thereof at any time without notice. Jobeedo shall have no obligation to update or extend this Website or to correct any errors or omissions in this Website.

z. Jobeedo shall have no other obligations, except as expressly stated in this User Agreement. Furthermore, Jobeedo shall reserve all rights and interests not expressly stated in this User Agreement.


3. Ownership, Copyright, Trademarks and Confidentiality



a. As a user you agree that this complete Website, including its arrangement, all content, profiles, graphics, design, text, and information is owned by Jobeedo. You grant Jobeedo the right, authorization and license to use the content provided by you (including and not limited to pictures, information, etc.) for publishing on the Website. Jobeedo has the right to translate, adapt, reproduce, or use for promotional purposes any of such content provided by you, and to distribute such content on the Website and/or in Jobeedo marketing communication, including electronic communication. Further, Jobeedo has the right to modify the content provided by you for appropriate display purposes on the Website and/or in said marketing communication.You agree that these rights apply for worldwide usage by Jobeedo.

b. You acknowledge and agree that this Website contains proprietary content and confidential information, and that you will not to use, copy or reproduce this Website and any of its content, data and information other than for those purposes strictly related to use of the Jobeedo services offered on this Website and as set forth in this User Agreement. You agree to keep any and all such content, data and information confidential.

c. Any content, data and information provided on this Website is protected by Singaporean and international copyright and other intellectual property and trademark laws.

d. JOBEEDO, Jobeedo.com, Jobeedo4Charity and the Jobeedo logo are trademarks of Jobeedo. It is prohibited to use any of these trademarks, including but not limited to the foregoing, without prior written consent by Jobeedo. Buttons and Labels provided in the membership section of the Website with explicit description for use and download by the user are excluded from the above trademark provision.


4. Third parties

a. This Website may show, publish or contain articles, advertisements, information, products, applications, software and services provided by third parties and/or links to third-party websites.

b. Jobeedo does not make any representations or warranties, express or implied, regarding third-party articles, advertisements, information, products, applications, software, services and/or websites.

c. Inclusion of articles, advertisements, information, products, applications, software and services provided by third parties on this Website and/or links to third-party websites do not reflect an endorsement, sponsorship, authorization, cooperation or affiliation with or of such third parties.

d. Any use, download, installation and/or utilization of third-party articles, advertisements, information, products, applications, software and services is to your sole discretion, to your own risk, and is not covered by this User Agreement.

e. Some third-party applications and websites may require data exchange with this Website. You acknowledge, understand and agree that other third-party terms, conditions and policies apply in such cases.


5. Privacy Policy

a. The Jobeedo Privacy Policy constitutes an integral part of this User Agreement.

b. You acknowledge to have read, reviewed and understood our entire Privacy Policy under this link, and that you agree with the privacy policy terms and conditions.


6. Complaints

a. You have the right to notify Jobeedo of content that infringes your rights and/or copyrights. In order to notify Jobeedo, you must send your notification by email to service@jobeedo.com, describing the content or information on this Website that you feel infringes your rights and/or copyrights, in as much detail as possible. Furthermore, you must provide information on which right or rights, under which jurisdiction, are infringed, and you must include the corresponding legal texts and explanations.

b. After due investigation, Jobeedo may or may not remove such related content on this Website, to the sole discretion of Jobeedo.


7. Disclaimer

a. Jobeedo provides this Website and all of its content, information and services on an "as is" and "as available" basis. Jobeedo disclaims all warranties of any kind with regard to this Website. We disclaim, to the fullest extent under applicable laws, any and all implied and express warranties or representations, including (and without limitation) to any warranty of merchantability, fitness for a particular purpose, ownership, title, non-infringement, accuracy of content and information and absence of computer or program viruses or worms.

b. Jobeedo and Jobeedo content providers do not provide any warranty for completeness, accuracy, correctness, timeliness, non-interruption, functionality or continuity of this Website, its content or any of the services accessible through this Website. Due to maintenance and updates the Website may be temporarily interrupted from time to time.

c. Jobeedo disclaims all liability for damages or losses caused by any interruption or disfunctionality of the Website. Further, Jobeedo disclaims all liability for damages or losses caused by any poor accessibility or disturbances related to communication or storage hardware, software, the internet, servers, service providers and for any other technical problem or reason that may limit the use of this Website. Jobeedo provides no warranty and makes no representation for distribution of messages, mails, articles, questions, answers, applications, documents and any other content sent through and/or displayed on the Website.

d. Jobeedo is not responsible for your decisions, actions, or any damages or losses resulting from use of this Website or its content or services.

f. Jobeedo is not obliged to verify the identity of registering or registered members and users and cannot be held responsible for misuse of this Website by any user. Jobeedo disclaims all liability for any identity theft or any misuse of your data, profile, information or identity.

g. If you are unsatisfied with the Website you may terminate your membership and use of this Website according to the provisions of this User Agreement. Such termination shall be your sole and exclusive remedy. Please note that in some countries and jurisdictions a limitation of implied terms and warranties may not be accepted. Therefore this section of the User Agreement may not apply or may not apply in full to you.


8. Limitation of Liability

a. Neither Jobeedo Pte Ltd nor any of its entities, subsidiaries, affiliated companies, directors, shareholders or employees (hereinafter jointly referred to as "Jobeedo Affiliates") shall be liable to you or any third party for any damages or losses of any kind arising from or relating to this User Agreement or the use of, or the reliance on this Website, its information and/or content, except such damages are directly related to a breach of obligations by Jobeedo, under this User Agreement.

b. The aggregate liability of Jobeedo Affiliates for any damages or losses of any kind arising from or relating to this User Agreement or the use of, or the reliance on this Website, its information and/or content shall be limited to actual damages not exceeding the amount of SGD 400.

c. The limitation of liability shall apply even if Jobeedo has been advised or should have known of the possibility of such damages, and regardless whether a claim is based on contract, tort or statute.

d. However, a limitation does not apply to any damage that Jobeedo Affiliates have caused with clear intention and against the provisions of this User Agreement. Please note that in some countries and jurisdictions a limitation or exclusion of liabilities in contracts may not be allowed. Therefore this section of the User Agreement may not apply or may not apply in full to you.


9. Governing Law and Jurisdiction

a. This User Agreement shall be governed by and construed in accordance with the laws of the Republic of Singapore, excluding conflicts of law principles.

b. Any Disputes shall be resolved by final and binding arbitration under the rules of the ICC, such arbitration to be held in Singapore, in English or German language.

c. Arbitration fees and reasonable lawyer or legal fees of both parties shall be borne by the losing party.


10. Indemnification

Under this User Agreement you agree to indemnify, defend, and hold harmless Jobeedo Affiliates against any and all claims, liabilities, damages, losses and costs of any kind (including but not limited to lawyer or legal fees) arising from or relating to: " any activity related to your use of this Website;

" your breach of this User Agreement, including, without limitation, content provided or submitted by you, that may or may not infringe third-party rights or applicable laws; or

" any messages, information, or materials uploaded, posted, published, submitted, or distributed by you on this Website.


11. Entire Agreement

This User Agreement together with our Privacy Policy constitutes the entire and complete agreement between you and Jobeedo regarding the subject matter of this User Agreement, and supersedes any and all prior representations, warranties, understandings or agreements, whether written or oral, between the parties, or whether established by custom, practice or policy, regarding such subject matter.


12. Amendments

Jobeedo reserves the right to change, modify, amend or replace the terms of this User Agreement, effective from the date of publishing on this Website or written notification to you.


13. Severability

a. To the maximum extent possible, each and all provisions in this User Agreement shall be interpreted as to give maximum effect to its intended purpose and as to be valid and enforceable under applicable laws.

b. If any provision of this User Agreement is found to be invalid or unenforceable under applicable laws, such provision shall be modified so as to become valid and enforceable while constituting, to the maximum extent possible, the actual and original intent of such provision.

c. If such modification is not possible or allowed, then such provision shall be ineffective only to the extent of such unenforceability or invalidity without affecting the remainder of such provision or any other provisions of this User Agreement. This shall not affect the validity or enforceability of such provision or any part of it under the laws of any other jurisdiction, or any other provision of this User Agreement.


14. Assignment and Delegation

Jobeedo may assign or delegate all rights and obligations under this User Agreement, in full or in part. Furthermore, you agree that any assignment or delegation by you shall be ineffective.


15. Enforcement

Jobeedo Affiliates are beneficiaries of this User Agreement and have the right to enforce this User Agreement.


16. Termination

a. The terms and conditions of this User Agreement are effective until they are terminated by you or Jobeedo.

b. You may terminate this User Agreement, at any time, for any or no cause, by noticing Jobeedo. Termination will be effective upon processing of such notice by Jobeedo.

c. Jobeedo may terminate this User Agreement, with or without notice from Jobeedo, at any time, for any or no cause. Such termination will be effective immediately or as otherwise notified by Jobeedo.

d. The terms and conditions of this User Agreement will terminate immediately without notice from Jobeedo if you fail to comply with any term or provision of this User Agreement or if you (by your conduct, infringement of any rights or violation of any applicable laws) act against the interests of Jobeedo Affiliates and other users.

e. Upon termination, you will lose access to this Website, and you may be barred from future Jobeedo.com membership. Any content provided by you before termination may be deleted from this Website, to the sole discretion of Jobeedo.

f. The terms and conditions of this User Agreement shall survive any termination of this User Agreement.


17. Notices

You may notify Jobeedo with regard to this User Agreement via email at service@jobeedo.com or via mail at Jobeedo Pte Ltd, Legal Department, 10 Anson Road, 09-24 International Plaza, Singapore. Notices sent via other means and to other addresses shall be regarded non-compliant and shall not have binding legal effect for Jobeedo.
